Public Contract (Offer)

Important

This is an English translation provided for information. The legally binding text is the Ukrainian one, published at olbo.com.ua/oferta. In case of any discrepancy, the Ukrainian text prevails. The contract is governed by the law of Ukraine.

1. Parties

Contractor: Sole proprietor Bohdan Khomyn (FOP Khomyn Bohdan Ivanovych), tax ID 2617806290, single-tax payer, not VAT-registered. Postal address: P.O. Box 1623, Lviv 79016, Ukraine. Email: hello@olbo.com.ua. Services are provided under the name OLBO studio.

Customer: an individual (a private person) in Ukraine or abroad, or a single-tax sole proprietor in Ukraine, who has accepted this contract. Companies are served by OLBO PRODUCTION LLC (company code 42772536) under a separate contract or invoice; this contract does not apply to them.

2. Definitions

• Package — a service with a fixed price and scope described in Annex 1: business card website, online invitation, portfolio website.
• Brief — the specification the Customer fills in on olbo.com.ua and the Contractor confirms by email.
• Stage — a part of the work with a fixed value (Annex 2). A stage is approved when the Customer sends the email “I approve” from the address given in the brief, or when the Customer sends neither “I approve” nor comments within 7 days after the Contractor sent the stage result.
• Act — the acceptance certificate (form in Annex 3).

3. Subject

The Contractor provides website development services; the Customer accepts and pays for them.

For Packages, scope, price and time are set out in Annex 1. They are fixed and do not change after payment.

Website Checker full report — an explained report based on the automated website check (findings explained, fixes for the developer, PDF). Price — €25, paid in full in advance by card on the site (charged in Ukrainian hryvnias at the fixed amount shown on the payment page) or by invoice in EUR or USD; a link to the full report is sent automatically right after payment by card, or within 24 hours after the funds arrive when paying by invoice. Guarantee and credit — under the terms at olbo.com.ua/en/website-checker/terms: if the report is not sent within 24 hours, the full amount is refunded on request; if the report has an error or the Customer considers it incomplete and says what and why within 14 days of receiving it, the Contractor reworks the report free of charge and sends the updated version within 5 working hours (working hours are Monday to Friday, 9 am–6 pm Kyiv time); if within 30 days of payment the Customer orders any audit or a new website, the amount paid is credited towards its price. Stages and Annexes 1–2 do not apply; no act is drawn up: the service is provided when the report is emailed.

4. How the contract is concluded

1. The Customer fills in the brief. The Contractor checks it, confirms by email that it takes the order and sends a link to the order page.
2. On the order page the Customer sees the full text of this contract with annexes, ticks three required boxes (acceptance of the contract, request to start work, consent to personal data processing) and pays the prepayment.
3. The contract is concluded when the prepayment is paid after all required boxes are ticked (Art. 633, 641, 642 of the Civil Code of Ukraine). Without all required boxes payment on the site is technically impossible.
4. Right after acceptance the Customer receives an email with the full text of this edition (Ukrainian original and this translation), its number and date, the ticked boxes and the order number. This email is the confirmation of the contract on a durable medium.
5. If money arrives without the contract being accepted this way (for example, a mistaken transfer), the Contractor returns it in full.

5. Price and payment

• Prices are fixed and in Ukrainian hryvnias (Annex 1). Your bank converts the amount into your currency at its own rate. The Contractor is not a VAT payer.
• Early bird offer. For the “Business card website”, “Online invitation”, “Portfolio website” packages, if the prepayment is paid from 01.10.2026 to 31.10.2026 inclusive (until 23:59 Kyiv time), the price is reduced by 15%: UAH 11,900 instead of UAH 14,000, UAH 2,125 instead of UAH 2,500, UAH 6,800 instead of UAH 8,000 respectively. The prepayment is UAH 5,950, UAH 1,062, UAH 3,400 respectively; the rest is paid after delivery. The offer price is shown on the order page and in the confirmation email; it is fixed when the prepayment is paid and does not change afterwards. Stage values and refund amounts for the offer price are in Annex 2a. The scope of work at the offer price is the same as at the regular price (Annex 1).
• Payment in two parts: 50% prepayment on the order page, 50% after delivery — by a payment link or invoice sent by email.
• Payment by card via LiqPay (JSC CB PrivatBank). A fiscal receipt is issued for every card payment.
• Card data is processed by LiqPay; the Contractor never sees or stores it.
• Extra work (Annex 1, “extra, for a fee”) is done only with the Customer’s written consent and paid separately.

6. Timing and workflow

• The deadline runs from the prepayment and receipt of all materials (texts, photos, logo, access) needed for the work; delays in materials or approvals extend it accordingly.
• Work goes in stages (Annex 2). After each stage the Contractor sends the result; the Customer replies “I approve” or sends comments.
• If the Customer does not reply within 7 days after the Contractor sent a stage result, the stage counts as approved. The Contractor sends a reminder 2 days before this period ends.
• Two rounds of changes are included; for the online invitation — one round and one detail change before the event. Further changes are priced per Annex 1.
• Main communication is by email, so that all agreements are recorded.

7. Delivery and the act

1. The Contractor shows the finished site at a test address on the Contractor’s hosting, marked “Demo” and password-protected. Until the act is signed and payment is complete, the site and code stay with the Contractor.
2. Within 5 working days the Customer checks the site and sends comments if the result does not match the agreed brief.
3. When the result matches the brief, the Customer signs the act by qualified e-signature or Diia.Signature, or by email from the address in the brief with the text “The work under act No. … is accepted, no claims”.
4. The Customer pays the remaining 50%.
5. Only after the signed act and full payment does the Contractor move the site to the Customer’s accounts, hand over the code archive and an illustrated guide, give training and remove itself from the Customer’s accounts.
6. If within 5 working days there is neither a signature nor comments, the service counts as provided and the act as signed unilaterally by the Contractor; the Contractor warns the Customer by email 2 days before this period ends.
7. For the online invitation there is no act: the draft is shown on the Contractor’s hosting, the Customer confirms acceptance by email “Accepted”, and after the final payment the Contractor moves the invitation to the Customer’s account.

8. Warranty

Errors that do not match the agreed brief are fixed free of charge for 30 days after the act is signed (for the invitation — after acceptance is confirmed). We start on them the day you report them. New wishes that were not in the brief are separate paid work.

9. Consumer rights and refunds

• Right of withdrawal: until the order is fully performed the Customer may withdraw without giving reasons (including within 14 days of payment) — just write to hello@olbo.com.ua from the address given in the brief. No form or signature is needed to withdraw; a refund requires the application in Annex 4 (section 9.1).
• By ticking “Please start work right after payment”, the Customer asks for work to begin before the 14 days end. On withdrawal the Customer pays for the completed stages, in proportion to the work done (Art. 849 of the Civil Code of Ukraine).
• A stage counts as completed when approved by the email “I approve” or when the Customer does not reply within 7 days after the stage result was sent (section 6).
• Refund = prepayment minus the value of completed stages (Annex 2). If no stage is completed, the whole prepayment is refunded.
• Full performance: once the Contractor has sent the Customer the fully finished site for review (section 7; for the invitation — the finished draft), the service counts as fully performed and the prepayment is not refunded. By ticking “Please start work right after payment” the Customer confirmed awareness of this. The right to demand correction of anything that does not match the agreed brief remains.
• The Contractor never asks for more than the prepayment on withdrawal.
• After the act is signed (for the invitation — after “Accepted”), the service counts as fully provided; no refund, defects are fixed under the warranty.
• If the Contractor misses the deadline through its own fault or cannot provide the service, the full amount paid is refunded regardless of stages.
• Website Checker full report: refunds follow the guarantee in section 3 — the full amount if the report is not sent within 24 hours. If the report has an error or the Customer reasonably considers it incomplete, the Contractor reworks it free of charge (section 3).
• Refunds are made within 7 days of receiving the application in Annex 4, with a fiscal refund receipt (section 9.1). The money is refunded to the payment card used for payment. If the card is closed or a refund to it is impossible, the money is refunded to a current account (IBAN) in the payer’s name. Payment system fees are not deducted. Crediting time depends on the bank.
• If the result does not match the agreed brief, the Customer may demand free correction, a price reduction or — if defects are not fixed — termination and a refund for the defective part.
• Disputes: write to us first, we reply within a working day. Consumers may also turn to the State Service of Ukraine on Food Safety and Consumer Protection or to court.

9.1. Refund procedure

1. The Customer fills in the application to withdraw and for a refund (form in Annex 4) and sends it to hello@olbo.com.ua from the address given in the brief.
2. The application states: full name, order number, date and amount of payment, passport series and number or ID card number (for foreigners — passport number), the Ukrainian taxpayer number (RNOKPP; people who refused it for religious reasons state the passport mark; foreigners without one leave it blank), and the refund method. The document details are needed for the refund receipt required by Ukrainian tax law, the taxpayer number — to identify the applicant.
3. The application is signed by a qualified e-signature, Diia.Signature, or a handwritten signature on a scan. The Contractor does not require a copy of the passport and asks not to send one.
4. Within 1 working day the Contractor confirms receipt and, if anything is missing, says what. Within 2 working days it sends the refund calculation under Annex 2.
5. The money is refunded within 7 days of receiving the application, to the payment card used for payment, with a fiscal refund receipt.
6. If the card is closed or a refund to it is impossible, the refund goes to a current account (IBAN) in the payer’s name; the application then states the IBAN. No refunds to accounts of other persons.
7. Applications from another email address are handled only after confirmation from the address given in the brief.

10. Rights to materials and results

• The Customer guarantees they hold the rights to the texts, photos and logo they provide and the consent of people shown in photos.
• After full payment and signing of the act, the site, code and all access belong to the Customer.
• Until full payment and signing of the act, the property rights to the site and code belong to the Contractor. On withdrawal the Customer does not receive the site and may not use the results; the Contractor may demand that such use stop.
• The Contractor may mention the work in its portfolio only with the Customer’s written consent.

11. Liability

The Contractor is not liable for third-party services (hosting, domain registrar, email, payment systems) or for changes the Customer makes to the site. The Contractor’s liability is limited to the amount paid for the service.

12. Personal data

The Customer’s data (name, email, phone, brief materials) is used only to perform the contract, for invoices, receipts and correspondence. See the privacy policy at olbo.com.ua/en/privacy.

13. Editions and disputes

• Each edition has a number and date. A new edition does not change the terms for Customers who accepted an earlier one.
• Disputes are settled by negotiation, otherwise under the law of Ukraine, including the Law of Ukraine “On Consumer Rights Protection”.

Annex 2. Stages and refund on withdrawal

The amount in the last column is what we refund if the Customer withdraws after the stage has been completed: approved by “I approve” or not answered within 7 days after the result was sent.

If additional work is ordered, the prepayment and refund amounts increase by 50% of its cost.

Annex 2a. Stages and refund at the Early bird offer price

Applies to orders whose prepayment was paid from 01.10.2026 to 31.10.2026 inclusive (section 5). Stage values are reduced by 15% in proportion to the price, so refunds are calculated from the prepayment actually paid.

If additional work is ordered, the prepayment and refund amounts increase by 50% of its cost.
