Terms of service for business clients

Audits and one-off work for companies and entrepreneurs outside Ukraine.

1. Scope

These terms apply to the audits and one-off work listed on olbo.com.ua/en/audits, provided to legal entities and entrepreneurs outside Ukraine. They are not addressed to consumers (private individuals), for whom the Public offer applies.

2. Contractor

A sole proprietor registered in Ukraine as a single-tax payer (group 3), whose details (full name, taxpayer number and bank details) are stated in the invoice. The work is carried out by the OLBO team. Postal address: P.O. Box 1623, Lviv 79016, Ukraine; hello@olbo.com.ua.

3. How the contract is concluded

The client sends a request; the parties agree the scope, price and timeline by email; the Contractor issues an invoice. Payment of the invoice means acceptance of these terms and of the agreed scope.

4. Price and payment

Prices are in euros; payment is by bank transfer on the invoice. Work costing up to €1,000 is paid 100% in advance; more expensive work is paid 50% in advance and 50% after acceptance. Each party pays its own bank charges. The price is fixed before work starts; anything outside the agreed scope is done only with the client’s separate written consent.

5. Timelines

The timeline runs from the day the payment (advance payment) and all required materials and access are received. If the client delays materials, the timeline moves by the length of the delay.

6. Deliverables and acceptance

The deliverable is a report, a guide or another document defined in the scope of work, sent by email. The client has 5 working days to send reasoned comments; if there are none, the work is deemed accepted. The acceptance act is issued electronically.

7. What is not included

The Contractor does not change the code or server settings of the client’s website (the client’s developer makes the changes following the instructions), does not issue conformity certificates and does not give legal opinions. A report is a professional assessment of the website as of the date of the check; it does not guarantee legal compliance or the absence of claims or inspections.

8. Liability

The Contractor’s liability is limited to the amount paid for the specific work. The Contractor is not liable for indirect damages, lost profits, fines or claims by third parties or public authorities, nor for changes made to the website by the client or its developer, nor for the operation of third-party services.

9. Confidentiality

The client’s materials and access are used only to perform the work and are not passed to third parties. At the client’s request, the Contractor signs a non-disclosure agreement (NDA) before receiving materials. The work may be mentioned in a portfolio only with the client’s written consent.

10. Personal data

In accordance with the Privacy Policy.

11. Force majeure

Martial law, power or communication outages and other circumstances beyond the parties’ control extend the timeline for as long as they last.

12. Governing law and disputes

The law of Ukraine applies. Disputes are settled by negotiation and, failing agreement, by the court at the Contractor’s location.

13. Language

The Ukrainian version prevails. This English text is a translation provided for convenience.
